Linda Perez Clark is partner in the Baton Rouge office of Kean Miller. She joined the firm in 2000 and practices in the business, corporate and real estate group. She represents clients in entity formation and governance, asset, stock and real estate acquisitions and sales, and in preparing and negotiating commercial contracts, including leases, in a wide range of industries, including energy. Her practice includes general business advice to large and small businesses, as well as representing energy companies in connection with exploration and production matters.

Prior to joining in the business and corporate area at Kean Miller, Linda handled several large class action litigation cases in state and federal court. She also serves as an Assistant Examiner for the Committee on Bar Admissions for the State of Louisiana.

Linda was recognized by the Baton Rouge Business Report in June 2008 as one of nine Influential Women in Business in the Capitol Region. 

Representative Experience

  • Drafting and negotiating purchase and sale agreements and leases relating to mineral interests.
  • Drafting, negotiation and/or reviewing surface use agreements, pipeline rights-of-way and servitude agreements, and joint operating agreements relative to exploration and production of minerals.
  • Drafting and/or reviewing offshore production handling and related agreements.
  • Representation of significant residential real estate developer in multiple sales, acquisitions and related matters.
  • Sale of industrial services company for $50 million.
  • Acquisition of HUD insured multi-family complex for $25 million.
  • Sale of chemical manufacturing company for $33 million.
  • Acquisition of chemical manufacturing company for $10 million.
  • Representation of a Louisiana bank with regard to corporate governance matters, real estate transactions on behalf of the bank, and in day-to-day counsel in connection with the bank's corporate structure and related issues regarding its Board of Directors.

Education

Linda earned her J.D., cum laude, from Tulane University in 1991 where she was the recipient of the American Jurisprudence Award in Commercial Law II, Creditor's Rights and Bankruptcy. She earned her B.A., magna cum laude, from Louisiana Tech University in 1988.
