Andrew H. Goodman

Andrew Goodman is a partner in the New Orleans office of Kean Miller.   He joined the firm in 2012 and practices in the Business and Corporate group. Andrew has extensive experience in mergers and acquisitions, securities law, corporate governance matters, and general business advice.  He has advised corporate clients, ranging from early stage start-ups to large publicly traded companies, and investment funds in transactions in technology, real estate and real estate investment trusts (REITs), life sciences, energy, manufacturing, advertising, consumer products, food products, and other industries.

Since 2005, Andrew has advised clients in M&A transactions totaling over $25 billion. 

Prior to joining Kean Miller, Andrew was a partner in the Los Angeles office of Goodwin Procter LLP after several years of practicing as an associate in its Boston office.

Representative Experience

  • Structuring, negotiating and implementing merger and acquisition transactions, involving public and private buyers and sellers.
  • Advising boards of directors regarding company sales, acquisitions, financings, strategic alternatives, fiduciary duties and defensive takeover protections and strategies.
  • Advising public companies in ongoing corporate governance and securities law compliance maters, including registrations statements, proxy statements, periodic reports and executive compensation matters.
  • Advising issuers and underwriters in capital markets transactions.
  • Advising founders and investors regarding start-ups and early stage businesses in connection with capital raising transactions.

Andrew earned his B.A., cum laude, in 1999 from the University of Rochester. He earned his J.D., cum laude, in 2002 from Tulane Law School.
