Kyle C. McInnis

Kyle McInnis is a partner in the Shreveport office of Kean Miller and practices in the estate planning, tax, and business and corporate practice groups. He represents business clients in entity formations, corporate acquisitions and dispositions, and all matters pertaining to closely held businesses.  He represents individuals and families in all aspects of the estate planning process, including devising and implementing transfer tax minimization strategies, and in estate freeze transactions.  Kyle is a Tax Law Specialist and an Estate Planning and Administration Specialist certified under the Louisiana Board of Legal Specialization. 
Kyle is a member of the American College of Trust and Estate Counsel (ACTEC). He is AV Distinguished by Martindale-Hubbell, has been named to The Best Lawyers in America for Trusts and Estates and Tax Law since 2012. He was named the Best Lawyers' 2013 and 2015 Shreveport Trusts and Estates "Lawyer of the Year" and the 2016 Shreveport Tax "Lawyer of the Year."  He is listed in The Best Lawyers in America 2017.  Kyle has been listed in Louisiana Super Lawyers since 2012.

Kyle was the principal author of Louisiana Revised Statute Section 12:1308.3, enacted in 2012, and the 2014 revisions to Louisiana Code of Civil Procedure Section 3191 dealing with digital accounts.

Representative Experience

  • Lead counsel for various aircraft acquisitions, including negotiation of new aircraft acquisition contracts and related multi-party like-kind exchanges of aircraft
  • Representation of a large timber company holding in excess of 100,000 acres of timberlands in reorganization and governance redesign
  • Representation of borrower in negotiating a $100 million credit facility established for the acquisition of investments in oil and gas assets
  • Representation of management group in a $25 million management buyout of an oilfield services company
  • Representation of families with assets ranging from less than $1 million to over $100 million in all aspects of estate planning, including the drafting of wills and trust instruments to defer federal estate taxes and gain maximum flexibility for post-mortem planning and the creation and implementation of comprehensive estate planning strategies, such as family investment entities, estate freeze transactions, such as sales to intentionally defective grantor trusts, and charitable donation planning
  • Represented numerous businesses in entity formation, shareholder or member agreements, mergers and acquisitions, and owner disputes
  • Representation of corporations in the implementation of employee stock ownership programs (ESOP), including transactions involving both bank financing and owner financing
  • Representation of purchaser of minority interest in a franchise of the National Football League (NFL)
  • Representation of businesses owners in the sales of businesses to private equity funds and strategic purchasers
  • Representation of executors and legatees in successions of all sizes, including the preparation of federal estate tax returns and Internal Revenue Service audits
  • Representation of numerous businesses in corporate liquidations and divisive reorganizations, including spin-offs and split-up transactions
  • Representation of start-up companies regarding Louisiana state tax incentives, corporate finance, and executive compensation
  • Representation of businesses in private securities placements 
  • Formation of numerous non-profit entities, including creations of public charities and private foundations, and applications for federal exemption from income tax


Kyle earned his B.B.A. from the University of Georgia in 1999, where he was inducted into Beta Gamma Sigma. He earned his J.D. from Washington & Lee University School of Law in 2002, where he was a member of Phi Kappa Phi.  He earned his LL.M. from New York University School of Law in 2003.
