Clay McCollor is a trusted business advisor who guides companies through their most important transactions and strategic decisions. With more than 20 years of experience leading both international and domestic deals, Clay brings a practical, business-minded approach to his practice, shaped by his time as in-house counsel for a Houston-based investment bank and as managing partner of a full-service transactional firm.

Clients rely on Clay for his steady judgment, efficiency, and ability to simplify complexity. Known as a strategic problem solver and skilled dealmaker, he delivers creative, cost-effective counsel that help clients move forward with confidence, whether they are launching a new venture, navigating growth, or executing high-stakes transactions.

Clay advises businesses across the full lifecycle, providing counsel on entity structuring and formations, mergers and acquisitions, securities compliance, debt and equity offerings, and private equity transactions. His experience also includes drafting and negotiating a wide range of commercial agreements, including master service agreements, financing arrangements, manufacturing and distribution agreements, software licensing, employment and contractor agreements, and commercial real estate and construction contracts. Clay regularly supports clients with due diligence, risk management, succession planning, and long-term strategic initiatives.

Before beginning his legal career, Clay served as a Captain in the U.S. Army Field Artillery, where he led soldiers in multiple duty stations across the world, including California, Kansas, and Kuwait. That leadership experience continues to inform his disciplined, solutions-oriented approach to client service.

Outside the office, Clay is deeply committed to his community, his church, and his children’s school. He lives in The Woodlands with his wife and five children, and enjoys golf, hiking, fly-fishing, watching live sports, wine, scotch, and cheering on his kids in their many activities and sports.
