Amanda Bourgeois is a partner in the Baton Rouge office. She joined the firm in 2012 and practices in the business and corporate group. Amanda has experience representing clients in connection with a variety of transactional matters, including asset and stock acquisitions and divestitures, stock and membership interest redemptions, consortium and joint venture agreements, business entity formation and governance planning, as well as the drafting and negotiating of industrial and construction procurement, purchase and service contracts.  She has represented clients in numerous acquisition and sale transactions across a diverse range of industries and business sectors, including advertising, oil and gas, retail sales, real estate, as well as medical, legal, engineering and other professional service providers.  Amanda’s practice also includes advising individuals and business in connection with the drafting of organizational documents, including operating agreements and shareholder agreements, planning of overall corporate structure, and creating business succession plans. 

Representative Experience
  • Legal Advisor to publicly-traded outdoor advertising company in the $127 million acquisition of equity interests in privately held outdoor advertising company and its subsidiaries
  • Represented publicly-traded company in connection with numerous asset and stock acquisitions, divestitures and joint ventures ranging from $2.5 million to $458 million 
  • Represented owners of closely-held company in connection with stock sale of a grocery business
  • Represented purchaser of barge and fleeting assets and real estate in a $20 million asset acquisition and drafted and negotiated related service agreements
  • Represented major pipeline company in the drafting and negotiation of numerous construction and industrial purchase orders
  • Represented industrial engineering company in the drafting and negotiation of consortium agreements with strategic partner
  • Represented family-owned real estate holding company with more than one hundred fifty owners in connection with the amendment and restatement of its operating agreement 
  • Prepared employment agreements, professional services agreements and organizational documents, including LLC operating agreements and shareholder’s agreements, for physician groups
  • Represented closely-held businesses, including legal and architectural professional service providers, in connection with redemption of stock and membership interests from existing shareholders and members
  • Represented individuals and small businesses in connection with formation of new entities to be used as business operating companies, joint ventures, real estate holding companies, medical, legal, engineering, architectural and other professional service providers and provided advice regarding organizational structure and drafting organizational documents
  • Represented numerous small businesses and individuals in connection with the acquisitions and sales of various businesses
Education

Amanda received her J.D. in 2010 from the LSU Law Center where she was a member of the Order of the Coif and Moot Court Board from 2009-2010. She received her B.A. in Mass Communication from Louisiana State University in 2006.
