Stephen earned his stellar reputation for ABO and permit procurement, premises liability, conditional use, and efficient and compliant daily operating best practices by servicing national restaurant brands, local and regional hotels, restaurants, and bars, as well as wholesome and organic foods and international specialty markets.

Stephen takes pride in facilitating the commercial objectives of bulk, break-bulk, and containerized cargo handlers, shippers, trans-loaders, and LPG and LNG terminals and facilities – no matter how complex or difficult. His legal breadth spans from project conception through completion and ongoing advisory services that support continuous growth and development. Stephen has formed numerous companies for well-established and new businesses alike in the marine, transport, and construction industries.

For commercial bankers, lending institutions, and private investors, Stephen negotiates, documents, and closes all types of marine asset financing deals. He advises on commercial leases and the finance, sale, and purchase of real property. His fluency in a wide array of asset classes includes real estate, river-based fleeting operations, ship berths and anchorages, deep-water ports, oil and gas equipment and rigs, and transferable holdings.

Stephen’s experience in U.S. Coast Guard procedure and vessel documentation is manifest in his ability to guide clients beyond traditional lending and borrowing practices in vessel finance, sales, construction, and in properly filing and perfecting instruments with the National Vessel Documentation Center. Stephen also provides guidance on USCG, USACE, and other federal and state agency regulatory and permit compliance. His practice supports the drafting of domestic-terminal operating tariffs, and guidance on the impact to shipping operators of changes in international-trade regulations, tariffs, and trade agreements.

  • Represented a global bulk product shipper in a contract demurrage dispute with a carrier.
  • Represented international trade clients in coordinating, negotiating, and arranging shipment of bulk, break-bulk, and containerized and project cargo.

  • Led an arbitration team in the resolution of downhole damage secondary to the underground blowout of an oil and gas well.
  • Represented international clients in matters involving trade disputes governed by the U.S. Bureau of Industry and Security and the Office of Foreign Asset Control.
  • Represented a large midstream stevedoring company with the finance, acquisition, and development of batture property and fleeting operations along the lower Mississippi River.
  • Represented a vessel owner and operator in the sale of high-capacity floating cranes to a foreign purchaser, and handled all aspects of the transaction from drafting the purchase and sale agreement to obtaining governmental agency approval of the sale through the shipment of the assets to a foreign destination.
  • Successfully tried a multi-million-dollar arbitration involving the conversion of a coal to gas-fired plant conversion for a large electric power generation facility.
  • Represented an offshore drilling company in its $45 million acquisition of nearly a dozen offshore drilling units, including the coordination of foreign and domestic vessel registry, and the application and procurement of various operating licenses, permits, and documentation; this representation included forming a corporate ownership entity under the international registry.
  • Represented a Cayman Island-based vessel owner in the acquisition of a $63 million luxury yacht.
  • Represented an offshore oilfield services provider in filing and enforcing liens under the Louisiana Oil Well Lien Act.
  • Represented a domestic seller of bulk cargo transfer equipment in transactions involving an international coal mining and processing company.
  • Represented a regional inland towing company in multiple asset and fleet refinance transactions.
  • Prepared vessel arrest and cargo seizure suits and successfully negotiated the recovery of accounts receivable for an offshore contractor.
  • Coordinated advices to a U.S. affiliate of entities engaged in international steel trade and foreign and domestic steel product manufacturing.
  • Represented numerous offshore vessel operators in coastwise law compliance matters.
  • Represented a Houston, Texas-based client with the cash/sale acquisition of a $17.5 million luxury yacht.
  • Represented a local bank in a tax-exempt vessel finance deal for the purchase of a commercial vessel.
  • Represented a regional bank in closing a transaction for multiple marine assets in a commercial vessel fleet.
  • Represented numerous commercial lenders in closing transactions pertaining to waterfront property and marine asset acquisitions and vessel finance.
  • Represented a large commercial shipyard in litigation involving an allegedly injured welder, and obtained dismissal of all claims against the shipyard at both the trial court and appellate court levels.
  • Assisted a local construction contractor with numerous issues involving the successful satisfaction and dismissal of project liens.
  • Advised an international affiliate of a domestic pipeline company regarding compliance with Export Administration Regulations and export control classification issues.
  • Represented a Gulf of Mexico installation operator in property damage litigation, successfully coordinating with the U.S. Coast Guard and Marshall Service to seize and detain an offshore tug, its tow, and cargo as security for the damages incurred by the platform.
  • Assisted a drilling well operator and non-operating interest owners in drafting and negotiating Joint Operating Agreements, Participation Agreements, Exploration Agreements, and Gas Balancing Agreements.
  • Assisted a non-operating interest owner and investor in a land-based drilling prospect in the negotiation and drafting of buy/sell agreements.
  • Represented a community organic grocer in municipal land use hearings before the New Orleans City Council and City Planning Commission.
  • Negotiated and closed a $32 million vessel finance loan based on yacht collateral.
  • Represented numerous restaurants and alcohol beverage outlets in obtaining permits and other operational licenses.
  • Represented a domestic affiliate of a foreign manufacturer, exporter, and importer in matters involving custom duties compliance and successful administrative fee reduction.
